1. Who this agreement is between
These Terms are between you, the member, and Our Phoenix Rising LLC, a Texas limited liability company. They govern your membership in the Phoenix Rising council and your use of our website, member platform, and community spaces.
2. Accepting these Terms
By accepting an invitation to join the council, signing in to your member account, or using any Phoenix Rising service, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the platform or attend sessions.
3. What membership includes
Phoenix Rising is a private, invitation-only council. Membership includes, depending on your tier and what is currently active:
- Access to recurring live council sessions, in the 15+15 format the room runs.
- Inclusion in the member directory and assignment to a small pod.
- Access to the council's community spaces (currently hosted in WhatsApp).
- Speaker-approved insights and recap materials we publish to members.
- The forthcoming Phoenix Rising book (Volume 1), which goes out free.
- Other benefits we may introduce, communicated to members directly when added.
Some sessions, events, dinners, retreats, or other gatherings may carry their own cost over and above membership. Those costs are communicated separately at the time the event is offered.
4. The room's norms
The council is run as a council, not a funnel. As a member, you agree to:
- Show up as a giver, not just a taker.
- Not pitch members through cold outreach, mass DM, or unsolicited promotion.
- Not direct-message other members without consent.
- Hold what is shared in the room as confidential, unless the person who shared it explicitly says otherwise.
- Treat fellow members and guests with respect.
We may, at our reasonable discretion, remove a member for serious or repeated violations of these norms. We will give notice and a chance to respond except where immediate removal is required for safety or trust reasons.
5. Recordings, transcripts, and the ripple
Council sessions are recorded for the council's own use and so that AI tools can produce candidate insights for the speakers and the room. Nothing from a session is published outside the room without the relevant speaker's individual, explicit approval. The full details are in our Recording Consent and Privacy Policy, which form part of these Terms.
6. Your content
You retain all rights in the content you post, the bio you write, the photo you upload, and anything you share inside the council. By posting it on the platform or sharing it in a session, you grant Phoenix Rising a limited, revocable, non-exclusive license to host, display, and use your content for the purpose of operating the council (for example, showing your profile in the directory, sharing approved speaker insights you cleared, and including approved material in the book). You may withdraw a previously granted approval for any specific item, in which case we will take it down.
7. Billing and payment
Membership is offered on one of the tiers we have set from time to time. Your specific rate is the rate agreed at enrollment. Founding members on a closed founding-cohort rate retain that rate for life on the terms stated when they joined. Standard members pay the standing annual rate communicated to them at enrollment. We do not publish prices on the public site by design; pricing lives in the member application and enrollment communication.
Payments are processed by a third-party payment processor. By enrolling on a paid tier, you authorize Phoenix Rising and the processor to charge the payment method you provide on the billing schedule agreed at enrollment.
8. Cancellation
You may cancel your membership at any time by writing to joshua@ourphoenixrising.com or using the cancellation mechanism in your member account if one is available. On cancellation we will stop charging you going forward, deactivate your account, and remove your active access to the council, sessions, and community spaces.
9. Refund policy
- Within 14 days of your first payment on a new membership, you may request a full refund of that payment if you are not the right fit for the council, no questions asked. Email joshua@ourphoenixrising.com.
- After 14 days, payments already made are non-refundable except where we are legally required to refund them.
- If we remove you for cause under section 4, no refund is due for the remainder of the term.
- Founding tier members who joined under a founding rate are subject to the same 14-day window from their first payment.
- Event fees and other ancillary costs are governed by the terms of each specific event, not this policy.
10. Suspension or termination by us
We may suspend or terminate a member's account for serious or repeated violation of these Terms, the norms, or applicable law, or where required to protect the room. Where reasonable, we will give notice and a chance to respond. Termination by us for cause does not entitle you to a refund.
11. Disclaimers
The Phoenix Rising platform and content are provided on an "as is" and "as available" basis. We do not warrant that the platform will be uninterrupted, error-free, or that any information shared in the council is accurate, complete, or suitable for any particular purpose. Member-to-member relationships and any advice exchanged in the room are between the members involved; the council does not endorse or guarantee any introduction, advice, opportunity, or transaction.
12. Limitation of liability
To the maximum extent permitted by law, our total liability to you arising out of or relating to the council, the platform, or these Terms will not exceed the amount you paid us in the twelve months before the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.
13. Governing law and venue
These Terms are governed by the laws of the State of Texas, without regard to conflicts-of-laws principles. Any dispute will be brought in the state or federal courts located in Travis County, Texas, and you and we consent to that venue.
14. Changes to these Terms
We may update these Terms as the council evolves. Material changes will be communicated to members directly. The effective date at the top tells you when this version took effect. Continuing your membership after a change means you accept the updated Terms.
